Indemnification.

Dispute resolution & arbitration.

Before initiating any formal dispute, you agree to first contact us at info@decorlane.com with a description of your claim. We will work in good faith to resolve the matter within thirty days. Most concerns are resolved at this stage.
If informal resolution does not succeed, any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or any product — except as set out below — shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration shall be conducted in Los Angeles, California, unless you and Decor Lane agree otherwise.
You and Decor Lane agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
Either party may seek (a) relief in small claims court for claims that qualify, or (b) injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights or confidential information. Nothing in this section prevents either party from reporting violations to government authorities.
Any claim or cause of action arising out of or related to your use of the Service or these Terms must be filed within one (1) year after such claim or cause of action arose, or it shall be permanently barred — to the maximum extent permitted by applicable law.
Events beyond our control.
Decor Lane shall not be liable for any failure or delay in performing under these Terms — including in fulfilling orders, processing returns, or delivering products — caused by events beyond our reasonable control. Such events include, without limitation: acts of God; natural disasters; pandemics and public health emergencies; war, terrorism, civil unrest, or government action; labor disputes; shortages of materials or transportation; carrier delays; customs holds; utility, internet, or platform outages; and cybersecurity incidents.
During such events, our obligations are suspended for the duration of the event. We will use reasonable efforts to notify affected customers and to resume performance as soon as practicable.
Termination.
These Terms are effective unless and until terminated by either you or us. You may terminate these Terms at any time by notifying us that you no longer wish to use our Services, or by ceasing to use our site.
If, in our sole judgment, you fail — or we suspect that you have failed — to comply with any term or provision of these Terms, we may also terminate this agreement at any time without notice. You will remain liable for all amounts due up to and including the date of termination, and we may deny you access to our Services or any part of them.
The obligations and liabilities of the parties incurred prior to the termination date shall survive termination for all purposes. The provisions of Vol. V (Intellectual Property & Submissions), Vol. VII (Disclaimers & Liability), Vol. VIII (Indemnification), Vol. IX (Dispute Resolution), and Vol. XII (General Provisions) shall survive termination of these Terms.
General provisions.
These Terms and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of California, USA, without regard to its conflict of law provisions. Subject to Vol. IX, exclusive jurisdiction and venue for any claim shall lie in the state or federal courts located in Los Angeles County, California.
If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed. Such determination shall not affect the validity and enforceability of any other provisions.
You may not assign or transfer these Terms or any rights or obligations under them, by operation of law or otherwise, without our prior written consent. Decor Lane may freely assign these Terms in whole or in part, including in connection with a merger, acquisition, or sale of assets.
These Terms are between you and Decor Lane. No third party is intended to be a beneficiary of these Terms.
These Terms — together with any policies or operating rules posted on this site — constitute the entire agreement and understanding between you and Decor Lane, superseding any prior or contemporaneous agreements, communications, and proposals. Our failure to exercise or enforce any right or provision shall not constitute a waiver. Any ambiguities shall not be construed against the drafting party.
